All projects begin with a discovery phase where we assess your requirements. Following this, we provide a detailed proposal including scope, timeline, and investment. Work commences upon acceptance of the proposal and receipt of any required deposit. Changes to the agreed scope may result in timeline and cost adjustments.

6. Intellectual Property Rights

Custom Development: Upon full payment, you own all custom code developed specifically for your project, including source code and documentation. We retain the right to use general methodologies, techniques, and non-client-specific code in future projects.

Pre-existing Materials: We retain ownership of any pre-existing code, frameworks, or tools used in your project. You receive a license to use these materials as part of your Odoo implementation.

Odoo Framework: Odoo is open-source software licensed under LGPL v3. All custom modules must comply with Odoo's licensing terms.

7. Warranties and Limitations

We warrant that our services will be performed in a professional and workmanlike manner. However, we do not guarantee that our services will be error-free or uninterrupted. We are not responsible for issues arising from:

To the maximum extent permitted by law, Odoflair's total liability for any claims arising from our services shall not exceed the fees paid by you for the specific service giving rise to the claim. We are not liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities.

9. Confidentiality

We treat all client information as confidential and will not disclose it to third parties except as necessary to provide our services or as required by law. We are willing to sign mutual non-disclosure agreements (NDAs) upon request.

10. Support and Maintenance

Post-implementation support is included for the period specified in your service agreement (typically 30-90 days). This covers bug fixes and issues directly related to our work. Extended support, new feature requests, and general Odoo questions may be subject to additional fees.

11. Termination

Either party may terminate an engagement with written notice. Upon termination, you are responsible for payment of all work completed to date. We will provide you with all deliverables completed up to the termination date. Termination does not affect any obligations that by their nature should survive, including confidentiality and payment obligations.

12. Dispute Resolution

In the event of any dispute arising from these terms or our services, both parties agree to first attempt resolution through good-faith negotiation. If negotiation fails, disputes shall be resolved through binding arbitration in accordance with the rules of the jurisdiction specified in your service agreement.

13. Modifications to Terms

We reserve the right to modify these terms at any time. Material changes will be communicated to active clients. Continued use of our services after changes constitutes acceptance of the modified terms.

14. Governing Law

These terms shall be governed by and construed in accordance with the laws of the jurisdiction in which Odoflair is registered, without regard to its conflict of law provisions.
